General Terms and Conditions of ADM Legal Consultancy

Effective Date: 1 January 2026

Article 1: ADM Legal Consultancy

1.1 ADM Legal Consultancy is a sole proprietorship (eenmanszaak) established under the laws of the Netherlands, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 99352346.

1.2 These general terms and conditions apply to every assignment (opdracht) accepted by ADM Legal Consultancy, including any supplemental or follow-up assignments.

Article 2: The Assignment

2.1 All assignments are accepted and carried out exclusively by ADM Legal Consultancy. This applies even if the Client expressly or implicitly intends for the assignment to be performed by a specific person.

2.2 The applicability of Sections 7:404 and 7:407, paragraph 2 of the Dutch Civil Code (Burgerlijk Wetboek) is expressly excluded.

2.3 ADM Legal Consultancy shall perform its services to the best of its ability and with the due care that may be expected of a professional legal consultant. All assignments are performed on a "best-efforts" basis (inspanningsverbintenis) and do not imply a guarantee of a specific result (resultaatsverbintenis).

Article 3: Liability

3.1 Any and all liability of ADM Legal Consultancy shall be limited to the amount paid out in the matter concerned under the professional indemnity insurance policy or policies taken out by ADM Legal Consultancy, increased by the amount of the deductible (eigen risico) which is not for the account of the insurers under the terms of the policy.

3.2 If, for any reason whatsoever, no payment is made by the insurer, any liability shall be limited to the amount of the fees (excluding VAT) paid by the Client to ADM Legal Consultancy for the specific assignment during the calendar year in which the event giving rise to the liability occurred, up to a maximum of €25,000.

3.3 Any claim for damages shall expire (vervallen) if it is not brought before the competent court within one year of the date on which the Client became aware, or could reasonably have been aware, of the event giving rise to the claim.

Article 4: Engagement of Third Parties

4.1 ADM Legal Consultancy may engage third parties (such as notaries, bailiffs, foreign counsel, or experts) in the performance of the assignment. ADM Legal Consultancy shall exercise due care in the selection of these third parties.

4.2 ADM Legal Consultancy is not liable for any failure, act, or omission by such third parties. ADM Legal Consultancy is authorized by the Client to accept any limitations of liability stipulated by third parties on behalf of the Client.

Article 5: Fees and Expenses

5.1 Unless otherwise agreed in writing, fees shall be calculated based on the number of hours worked multiplied by the applicable hourly rates as determined by ADM Legal Consultancy.

5.2 Expenses incurred on behalf of the Client (such as court fees, notary fees, translation costs, and travel expenses) will be charged separately.

5.3 Invoices must be paid within 14 days of the invoice date. If payment is not made within this period, the Client shall be in default by operation of law and shall be liable for statutory interest.

Article 6: Client Identification (Wwft)

6.1 Under the Dutch Prevention of Money Laundering and Terrorist Financing Act (Wwft), ADM Legal Consultancy is obliged to establish the identity of its Clients and, in certain cases, to report unusual transactions to the relevant authorities without informing the Client.

Article 7: Data Protection

7.1 ADM Legal Consultancy processes personal data of its Clients and persons working for its Clients in accordance with its Privacy Statement, which can be found on the website.

Article 8: Governing Law and Jurisdiction

8.1 The legal relationship between ADM Legal Consultancy and the Client is governed exclusively by the laws of the Netherlands.

8.2 Any disputes shall be submitted exclusively to the competent court in the district where ADM Legal Consultancy has its registered office, unless mandatory law dictates otherwise.
